  • Currency: Singapore dollars.
  • Typical Programming Project Stages are as follows. All projects will follow this guide unless otherwise specified in the
    project plan given by Networkz. The below terms and conditions will also use the stages below as a reference for points
    explanation.

    Stage 1: Order Confirmation (quotation signed and stamped, and deposit payment made)

    Stage 2: Server Information Gathering

    Stage 3: User Flow & Specifications Confirmations

    Stage 4: Web Design Mockups Development

    Stage 5: Web Design Mockups Delivery

    Stage 6: Web Design Mockups Approval

    Stage 7: Software Development

    Stage 8: Finished Product Delivery

    Stage 9: Software Finetuning Development

    Stage 10: Software Finetuning Completion

    Stage 11: Project Warranty

    Stage 12: Project Completion & UAT Signing

  • Payment:

    – For Singapore companies, only Singapore Cheque payment method is accepted.

    – For companies outside Singapore, paypal or Electronic Telegraphic Transfer payment method is accepted.

    – All cheques should be crossed & made payable to “Networkz Web Solutions (S) Pte. Ltd.”

    – Proposed Items & Payment Methods (where applicable):

    – All Items:

      100% upon Order Confirmation (Stage 1)

    – For webhosting/domain names items, in subsequent years, billing of this item amount will be done on yearly basis.

  • GST: Customers are not charged GST at the moment.
  • Requisites of Customer:

    – The customer shall provide all information and documentation reasonably requested by Networkz to enable Networkz to prepare and write the Programs.

  • Lead Time Required Before Start Of Project: 2 to 4 Weeks
  • Project Estimated Programming Timeframe:

    Estimated Duration On Actual Programming Work: 1 to 2.5 man months
      (Man days refers to Networkz’ official working days, which is Mon to Fri every week, 9am to 6pm, exclude public or special office
    holidays)

    – This estimated timeframe applies to certain programming projects only.

    – Web designing and flash programming is not applicable here. Only other application programming projects is applicable here.

    – Networkz undertakes to use its reasonable endeavours to complete each stage by the date specified but time shall not be of essence in
    relation to such obligation.

    – Any additional programming required for change requests for project may be chargeable at S$250/man day. Subjected to pricing confirmations by
    Networkz and client.

  • Stages Explanation:

    Stage 1: Order Confirmation

    – An order is confirmed when the quotation is signed, stamped using company stamp, and deposit payment is made

    Stage 2: Server Information Gathering

    – Server information needs to be gathered and confirmed on whether they are usable for project quoted or not.

    Stage 3: User Flow & Specifications Confirmations

    – User flow and specifications needs to be approved and verified by customer via email.

    Stage 4: Web Design Mockups Development

    – Mockups will be done up in image formats once stages 1 to 3 are done.

    Stage 5: Web Design Mockups Delivery

    – Mockups will be shown to customer one by one, as part of delivery. Customer need to approve main page design in jpeg, before the html
    version can developed. Then, the sub page design will be delivered in jpeg, after which the html version will be developed.

    Stage 6: Web Design Mockups Approval

    – Mockups needs to be approved and verified by customer vis email.

    Stage 7: Software Development

    – Once stages 1, 2, and 3 are done, some projects may proceed with this stage. Means the software will begin development.

    Stage 8: Finished Product Delivery

    – A software is deemed to be a Finished Product when:

    a) Networkz has finished programming the application or website, based on project specifications stated in this quotation, and
    b) The functions specified in this quotation are in working order to the best knowledge of Networkz.

    – Once the Finished Product is ready,

    – the Finished Product will be delivered to the customer. Delivery method can be via uploading to customer server, or onto Networkz
    test server, or via email to the customer.

    – the Project Warranty will start.

    Stage 9: Software Finetuning Development

    – A Finished Product is will be amended based on customer’s requested amendments stated in an amendments report.

    – An amendments report is a document for customer and Networkz’s project manager to verify by signing against the amendments.

    Stage 10: Software Finetuning Completion

    – A Finished Product finetuning is deemed to be completed once:

    a) Networkz has finished amending Finished Product, based on customer’s requested amendments stated in an amendments report, &
    b) The functions specified in this amendments report are in working order to the best knowledge of Networkz

    Stage 11: Project Warranty

    – Project Warranty Time Period: 3 Months

    – Project Warranty is defined as:

    – The time period given by Networkz to client to make finetunes to the application.

    – This time period starts from the day the Finished Product is completed, and the period lasts for the timeframe stated in this
    quotation.

    – Applies to programming portion of a project only.



    – The Finished Product is will be amended based on customer’s requested amendments stated in an amendments report.

    – Amendments/finetunes are defined as:

    – Small changes to the application, without any extra charges from Networkz to the client.

    – Refers to generally the following: (a) slight interface design changes, (b) interface field display name changes, (c) add or delete
    field into current forms/pages, (d) field type changes, (e) field or layout changes for reports

    – Note that exact items included for this project has to be confirmed again by Networkz to see if there is any extra costs involved.

    – Any new feature not specified in the quotation may be charge as new change request based at an additional $500 per man day.

    Stage 12: Project Completion & UAT Signing

    – A project is deemed as completed when:

    – Stage 10, the Software Finetuning Completion has been completed, OR

    – Stage 11, the Project Warranty time period has ended, whichever is earlier.

    – User Acceptance Test (UAT) Agreement is defined as:

    – An agreement that is to be signed upon Project Completion by both Networkz and client to end the Project.

    – This agreement is not to be used as project status guideline for client’s monetary payment to Networkz.


  • Copyrights:

    – For domain name purchases stated in this quotation, its ownership still belongs to the client name stated here. And any misuse or use
    of the domain name from this point on is the responsibility of the client.

    – Networkz owns the copyright and all other intellectual property rights of whatever nature in any corrected or modified version of the
    software design to all software design and programming codes produced by Networkz throughout the project. This applies to all draft and actual software design or software application copies given to client by Networkz. Ownership of copyright will be transferred to client only upon full payment by client for the source code rights. Normal purchase of application do not include source code rights.

    – The customer will indemnify Networkz against all costs, claims, demands, expenses and liabilities of whatsoever arising out or in
    connection with any claim that the use by Networkz to prepare and write the Programs infringes the intellectual property rights of whatever nature of any third party.

  • Order Confirmation & Termination:

    – Once this quotation is signed and stamped by the customer stated in this quotation, this quotation becomes a confirmed sales order.
    Note that work stated on this quotation will not begin until the deposit Payment has been made. Work includes required information
    gathering for project/s required.

    – For one time orders, if the customer has made the first 50% deposit payment for this sales quotation, and subsequently cancels the
    order, and if Networkz has not yet started work on the project, Networkz has the right to retain the deposit amount paid.

    – For one time orders, if the customer cancels the order, and Networkz has already started on the project, the customer has to pay for
    100% of this quotation amount irregardless of how much work has been done so far by Networkz.

    – For one time orders, if the customer did not cancel the order, but does any ONE of the following, Networkz will interpret that the
    customer is trying to delay the project or/and delaying payments. So Networkz has the right to cancel the project and the customer has to pay for 100% of this quotation amount irregardless of how much work has been done so far by Networkz. And the payment has to be made immediately.

    i) takes more than 20 man days to return on decision at any of the above stated project stages 1 to 12

    ii) takes more than 20 man days to return on decision on the project’s latest web design mockup amendments required

    iii) takes more than 20 man days to return on decision on which 1 of the 3 web design mockups to use for project

    iv) takes more than 10 man days to approve a project’s amendment report or any other documents

    v) does not reply Networkz’s emails or/and calls for more than 20 man days regarding the project

    vi) does not meet up with Networkz to than 20 man days regarding the project

    – For maintenance contracts, Networkz will continue to do the stated maintenance work for the stated price and contracted
    months/years for the customer.

    – Notwithstanding anything else contained herein, Networkz shall terminate this Agreement forthwith on giving notice in writing to the
    customer if the customer shall fail to pay any sum due under this Agreement which is not then subject to a bona fide dispute and such sum remains unpaid for 14 days after written notice from Networkz requiring such sum to be paid.

    – Any termination of this Agreement shall not affect any accrued rights or liabilities of either party nor shall it affect the coming into force
    or the continuance in force of any proviso hereof which is expressly or by implication intended to come into or continue in force on or
    after such termination.

  • Payment Refunds: All payments paid by the customer to Networkz will not be refundable.
  • Third Parties:

    – A person who is not a party to this agreement shall not be entitled under the Contract (Rights of Third Parties ) Act Cap 53B to enjoy
    the benefit or enforce any of the terms of this Agreement.

  • Personal Guarantee:

    – For companies that has paid-up capital that is less than the amount of this quotation, the customer’s authorised signatory person for
    this quotation hereby confirm that the directors of his company will be personally liable for the amounts due for this project. And the
    amount also include any legal fees incurred by Networkz.

  • Jurisdiction:

    – The applicable law is Singapore law and the parties hereby submit to the exclusive jurisdiction of that court for such purpose.

  • Others:

    – Other than the Estimated Project Timeframe and Payment Terms, the other Terms and Conditions as stated on this quotation will be
